By accessing or using the platform, users agree to be bound by these Terms. If users do not agree, they should refrain from using the services.

2. Account Registration

2.1 Ultimit AI is designed for individuals and businesses looking to create AI-generated visuals, logos, voices, and text. To access the features available on the platform, users must register an account.

2.2 Providing accurate and up-to-date information is essential, and users are responsible for maintaining the confidentiality of their login credentials. Any activity performed under a registered account is the responsibility of the account holder.

2.3 Minimum Age. You must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is higher) to register for an account, purchase credits, or use paid features on Ultimit AI. By accessing or using the platform, you represent and warrant that you meet this requirement. We do not knowingly collect personal data from anyone under 18.

3. Payments and Credits

3.1 The platform operates on a credit-based system. Users do not need to subscribe to any recurring plan but must purchase credits through one-time payment packages or purchase any amount of credits by topping up his account. 

3.2 Credits are then used to access various AI-powered tools, including logo creation, audio generation, image generation, and AI writing. Users can choose from multiple available currencies when making a purchase.

3.3 Payments are processed through third-party providers, and Ultimit AI does not assume responsibility for failed transactions. All credit purchases are final and non-refundable unless otherwise required by law.

3.4. AI Technology and Usage:  all AI-powered services on the UltimitAI platform are built exclusively using ChatGPT, a language model developed by OpenAI. This model powers the generation of written content, images, logos, and audio within our tools. By using these services, you acknowledge that the results are generated by ChatGPT and are subject to the limitations of current AI technologies.

3.5 Credit usage and pricing: each service on UltimitAI consumes a specific number of credits per generation. Below is a breakdown of credit costs for each tool:

• Image Maker – 2 credits per generation https://ultimitai.com/imagemaker

• Logo Maker – 2 credits per generation https://ultimitai.com/logomaker

• AI Audio – 3 credits per generation https://ultimitai.com/aiaudio

These credits reflect the usage of ChatGPT's capabilities tailored to each specific tool. Credit costs may be adjusted over time depending on service improvements or changes in third-party API pricing.

4. User Conduct and Restrictions

4.1 Users are expected to adhere to ethical and legal standards while using the platform. It is strictly prohibited to use Ultimit AI for illegal, harmful, or offensive activities, including the specific restrictions set out in Section 4.3 below.

4.2 Additionally, users must not attempt to reverse-engineer or manipulate the AI models, nor resell or redistribute generated content without obtaining the necessary licenses. Any violation of these rules may result in account suspension or termination without a refund of any remaining credits.

4.3 Generative AI Acceptable Use Policy. Because Ultimit AI generates text, images, logos, and synthetic voice/audio, you must not use the platform to create, upload, distribute, or promote content that:

• Creates deepfakes, synthetic media, or voice clones of a real person without that person's explicit consent or another lawful basis;
• Impersonates any individual, organization, or brand in a deceptive or misleading manner;
• Constitutes or facilitates child sexual abuse material (CSAM), exploitation of minors, or any other illegal content;
• Promotes hate speech, harassment, violence, terrorism, or extremist activity;
• Infringes copyright, trademark, trade dress, publicity, or privacy rights, including generating logos or branding that is confusingly similar to third-party marks without authorization;
• Is used for fraud, scams, spam, malware, or unlawful surveillance;
• Attempts to bypass safety filters, probe system vulnerabilities, or extract model weights or proprietary data;
• Violates export controls, sanctions, or applicable AI or media regulations in your jurisdiction.

4.4 We may use automated and manual review, block prompts or outputs, suspend accounts, and report unlawful activity to authorities where required. You are solely responsible for reviewing AI outputs before publication or commercial use.

5. Intellectual Property Rights

5.1 All AI-generated content created using the Ultimit AI platform belongs to the user, subject to any licensing restrictions that may apply to specific tools.

5.2 However, Ultimit AI retains full ownership of its AI models, software, and intellectual property. Users grant Ultimit AI a non-exclusive, worldwide license to use, reproduce, and display generated content for promotional and operational purposes unless they choose to opt out.

5.3 Third-Party Intellectual Property and User Responsibility. AI-generated content may unintentionally resemble existing works, brands, or voices. Ultimit AI does not guarantee that outputs are unique, non-infringing, or suitable for any particular use. You are solely responsible for evaluating outputs and obtaining any permissions, clearances, or legal advice before use. To the fullest extent permitted by law, Ultimit AI is not liable for claims arising from your use of AI-generated content, including alleged copyright, trademark, or publicity-right infringement by outputs you create, publish, or distribute.

5.4 Copyright Infringement (Notice and Takedown). If you believe content on Ultimit AI infringes your copyright, send a written notice to [email protected] with: (a) identification of the copyrighted work; (b) identification of the material claimed to be infringing and sufficient information to locate it; (c) your contact details; (d) a statement of good-faith belief that use is not authorized; (e) a statement, under penalty of perjury where applicable, that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove or disable access to reported material and terminate repeat infringers where appropriate. Counter-notices may be submitted using the same contact address where permitted by law.

6. Disclaimers and Liability

6.1 Ultimit AI is provided on an "as is" and "as available" basis. The company does not guarantee that the service will be error-free, uninterrupted, or will meet all individual requirements.

6.2 To the maximum extent permitted by law, Ultimit AI disclaims all warranties, express or implied, and is not liable for any indirect, incidental, or consequential damages resulting from the use of its services.

6.3 Service Availability. Ultimit AI does not provide a guaranteed uptime SLA. The platform may be unavailable due to maintenance, upgrades, third-party API outages (including AI or payment providers), network failures, or events outside our reasonable control. We aim to restore service promptly but do not warrant uninterrupted or error-free operation. Scheduled maintenance may occur without prior notice where reasonable; material planned downtime will be communicated when practicable.

7. Termination

7.1 Ultimit AI reserves the right to terminate or suspend any account that is found to be in violation of these Terms.

7.2 In such cases, any remaining credits will not be refunded.

7.3 Account Deletion and Unused Credits. If you delete your account or we terminate it for breach, any unused credits are forfeited without refund, except where mandatory consumer law requires otherwise.

7.4 Service Discontinuation. If Ultimit AI discontinues the service or your access to it, we will use reasonable efforts to provide advance notice where possible. Unused credits may expire or be forfeited on closure; refunds will be issued only where required by applicable law. See our Refund and Cancellation Policy for additional details.

8. Changes to Terms

8.1 These Terms may be updated from time to time, and continued use of the platform after modifications constitutes acceptance of the revised Terms.

9. Governing Law and Dispute Resolution

9.1 These Terms and Conditions are governed by the laws of the United Kingdom. Any disputes arising from the use of the platform shall be resolved through arbitration or the courts located in the UK.
